**Read time: 5 minutes**

When most investors compare loan note opportunities, they focus on one number above all others: the interest rate. It is the most visible figure in any term sheet, the easiest to compare across different opportunities, and the most intuitive measure of what an investment will deliver.

It is also, on its own, an incomplete basis for comparison.

Two loan notes can offer identical interest rates and carry fundamentally different risk profiles. The factor that most often explains that difference is not the sector, the management team, or the financial projections — though all of those matter. It is whether the debt is secured or unsecured, and what that means for the investor's position if things do not go to plan.

At [Oros Consultancy](https://www.oros-consultancy.co.uk), we present the security structure of every investment we introduce clearly and specifically. This article explains why that matters, what secured and unsecured debt actually mean in practice, and what questions investors should ask before committing capital to either.

**What secured debt means**

A secured loan note is one where the investor's debt is backed by a specific asset or set of assets that can be claimed by the investor — or their representative — in the event that the company defaults on its obligations.

The security is typically registered at Companies House, making it a matter of public record and giving the secured creditor a legal right that takes priority over unsecured claims. Common forms of security include a fixed charge over a specific asset, such as a property or a piece of equipment, which means that asset cannot be sold without the secured creditor's consent. Or a floating charge over the general assets of the business — stock, debtors, cash — which crystallises into a fixed charge in the event of default, giving the creditor a claim over those assets at that point.

The practical consequence of holding secured debt is that in a worst-case scenario — where the company becomes insolvent and its assets are distributed — the secured creditor has a legal right to be repaid from the proceeds of those specific assets before unsecured creditors receive anything. Security does not guarantee full recovery. If the value of the secured assets has fallen, or if the costs of realising them are high, the recovery may be partial. But it provides a meaningful floor beneath the investment that unsecured debt does not.

**What unsecured debt means**

An unsecured loan note is one where there is no specific asset backing the investor's claim. The company has promised to repay the debt and pay interest, but that promise is not supported by a charge over identifiable assets.

This does not mean the investment is worthless or necessarily high risk. Unsecured loan note holders are still creditors, and they still rank above equity holders in the repayment hierarchy if the company is wound up. But they sit below secured creditors, which means that in an insolvency scenario, secured creditors are paid first from the available assets, and unsecured creditors receive whatever remains — which may be very little.

The risk profile of unsecured debt therefore depends heavily on the overall financial health of the company, the quality and value of its assets relative to its total liabilities, and the extent to which secured creditors sit ahead of the unsecured note holder. These are factors that vary significantly from one opportunity to the next and that deserve careful assessment before capital is committed.

**Why the interest rate does not tell the whole story**

Consider two loan notes, both paying 10% per annum over a five-year term. The first is secured by a fixed charge over a portfolio of freehold properties worth twice the outstanding loan balance. The second is unsecured, with no specific assets backing the investor's claim.

Both offer identical headline returns. But the risk profiles are materially different. The first investor, in a distress scenario, has a legal claim over assets whose value substantially exceeds the outstanding debt. The second investor, in the same scenario, joins a queue of unsecured creditors hoping that something remains after secured claims have been satisfied.

The interest rate is the same. The investment is not the same.

This does not mean unsecured debt is always a poor choice. A company with minimal secured debt, strong cash flows, and high-quality assets relative to its total liabilities may represent a perfectly acceptable unsecured credit risk. And in some cases, unsecured debt pays a higher rate precisely because it carries more risk — which may be an acceptable trade-off for an investor who understands what they are taking on.

The point is not that secured is always better than unsecured. The point is that the security structure should be a central part of the investment assessment, not an afterthought once the interest rate has been noted.

**Questions to ask about any debt investment**

Before committing to any loan note, secured or unsecured, there are specific questions worth establishing clearly.

If the investment is presented as secured: what specifically is the security? Is it a fixed charge or a floating charge? Over what assets, and what is their independently assessed value? Is the charge properly registered at Companies House? Are there any prior-ranking charges that would be satisfied before this one in a default scenario?

If the investment is unsecured: what other debt does the company carry, and how much of it is secured? In a worst-case scenario, how much of the company's assets would remain for unsecured creditors after secured claims were satisfied? What is the rationale for the absence of security — is it because there are no suitable assets to charge, or because the terms have not required it?

In both cases: has the security position — or the absence of it — been reviewed by an independent solicitor, and is that review available to prospective investors?

These questions may feel forensic. They are. Private investment requires a level of scrutiny that most people do not apply to their listed investments, partly because listed markets provide a degree of liquidity and regulatory oversight that private markets do not. In the absence of those protections, asking forensic questions is not excessive caution — it is basic prudence.

**What a well-structured opportunity looks like**

A well-structured private investment opportunity will be transparent about its security position from the outset. The investment documentation will describe the security clearly, explain what it covers and what it does not, disclose any prior-ranking claims, and present an honest assessment of what the security would deliver in a realistic stress scenario.

Where security is not available — for example, in an early-stage business that does not yet own significant assets — a well-structured opportunity will acknowledge that clearly and reflect it in how the investment is presented and priced, rather than obscuring the absence of security behind reassuring language about the business's prospects.

Investors who read investment documentation with these questions in mind will quickly develop an instinct for the difference between opportunities that have been constructed thoughtfully and those that have not.
